HELP! Collection Sum of Money po b e2ng ganitong case??

Good Day! Sir/Mam just want to ask for your legal advice/opinion with regards to my case.

It's started when my Bestfriend (Ella) ask me if Id like to invest in their two (2) computer shop business that they're planning to open soon. So I invested almost Php500,000.00 worth of cash and items (Php280,000.00 CASH and Php220,000.00 items/asset like aircon, computer units, payment for the carpinter etc.) Most of the Items I invest and bought are tru the help of my Credit Card since nag-ooffer cla ng defer payment specially sa mga aircon. If by percent of ownership they gave me 20% sa isang shop and 25% sa isa since 2 shops yung in-open nmin.

Now the problem is few months ago they started to get all the income nung 2 shop(Ella and his Husband)and it come to the point na even yung expenses ng shop ay di na nababayaran like elecric bills and salary nung mga tao dahil nga kinukuha nila palagi yung pera hnggng sa magsara na nga yung isang shop dahil naputulan ng kuryente hanggang ngayon. So tinanong ko sila if ano plano nila dahil kung di nila kinukuha yung kita ng shop di mangyayari yun. at dahil nga don sinabihan ako na mag pull-out na lang daw ako don sa business at yun nga binibigyan lang ako ng 12units and 1 aircon which is very unfair sakin. I invested almost 500K then ang ireturn lang nila sakin is 12unit. Malakas ang loob nila dahil sa kanila nakapangalan yung business and wala kami pinirmahan na agreement about don. Aside pa po don they owe me 200K and its almost 2 years na din po yung utang nila at di pa din nila nababayaran at dahil nga po sa nangyari sinisingil ko na po sila at sila pa po ang malakas ang loob na magbabayad lang po sila kung kelan nila gus2 at wag ko dw po sila singilin.

Nagpunta po ako ng barangay para pumunta cla don at makipagusap sakin ng maayos but unfortunately di po cla napunta at nakaka 2 summon na po kmi.. sabi sa barangay hanggang 3 summon daw po at kapag di pa din po pumunta ay bibigyan nila ako ng referral para sa munisipyo na daw po. sa Wednesday na po ang 3rd summon Nov. 28, 2012 10am.

Malakas po loob nila kasi po wala kami kasulatan about don sa share ko sa shop nila pero meron po kami mga email na magpapatunay na may shares ako at isa pa po palang problema di po dw nila ina-acknowledge yung investment ko tru Credit Card kasi CASH lang daw po ang itinuturing nyang INVESTMENT. Sa utang naman po nila sakin worth 200K wala din po kami kasulatan don pero meron lang po ako list ng utang nila na pinirmahan ng asawa nya na utang nga nila sakin yun. kaso ngaun po nag away yung mag-asawa at pinipilit nung lalaki na di nya utang yun at utang yun ng asawa nya which is si Ella.

Meron po ba akong mailalaban na kaso at ano po kaya yun.. sana po matulungan nyo po ako.. and if possible din po meron po ba kayong atty na masusuggest para tumulong sakin sa isasampa kong kaso and kung magkano po kaya ang bayad.

Mahirap kasing patunayan sa court ung oral contract, you must have witness to prove it. At this point, you did not mention about your witness on your purported investment on computer shop. Dapat when you are at the point of setting up pa lang ung computer shop, malinaw sa both parties kung paano ang hatian, in what manner you should share, how they are going to divide among yourselves, in case of failure of the business, how will you settle for the residual amount, etc. There is a lot of things that need to clear up. The fact that you receipt only is only an evidence of your investment.

In investment it is apparent that you might loose or you might gain. It is highly apparent also that the business might fail. This happened in your situation, now the question is that when a party purported to have participated or acted as an investor and if the business failed, can that purported party claim any part of the residual amount claimed.

The answer lies on the financial interest of the business. If it is partnership, then the laws on partnership will prevail. If it is a sole proprietorship, and the intention is to just borrow a money, then this is a credit.

Now the question goes back to the investor, from the facts stated it was clear that you acceded to their invitation to participate in the business in fact you did not refuse you contributed to the capital hence believing that it will not fail.

My opinion is that it would be a case of partnership. Both must carry the burden of lost profit. Both must also shoulder the expense and the residual amount of the business must be divided in the proportional amount contributed by each party. Kung 50/50 un, edi equal share.

If there is an element of fraud in the conduct of the business, you have the burden of proof to show and convince the court of the presence of such. Then only you can recover a damage. You can file civil case for the recovery of damage.

Mam meron naman pong witness kaso ang prob is yung asawa nya witness ko and meron din po kami documents na pinirmahan at mga email acknowledging yung amount na ipinasok ko sa business.. i can provide copy of all emails. yun lang yung mapapakita ko katibayan n i own 20% and 25% don sa shop.

About naman po don sa expenses wala pong problema kung nalulugi yung shop. Pero kumikita po siya eh at malaki po ang kinikita. kaya lang po di mabayaran lahat ng expenses at kaya nagsara dahil lahat po ng kinita sa shop ay kinuha nila lahat almost 120K gross monthly income per shop. wat i mean lang po is enough yung income ng shop to sustain lhat ng expenses. kung tutuusin sobra2x pa po ang kita ng shop.

Tungkol naman po kaya don sa utang nila sakin na 200K? wala dn po kami kasulatan don pero meron lang po ako nagawa n list ng lhat ng utang nila tpos pinirmahan ng asawa nya and willing nmn dw mag witness yung asawa nung lalake dahil alam nya mali ginagawa ng mister nya. ang di ko lang po alam if pede ba mag witness ang asawa sa asawa nya.. saka ano po ba pede kong ma-file na case naman po tungkol d2.. maraming maraming salamat po.. bukas n po pala yung final summon ng baranggay at kpg di pa din daw pumunta bbgyan na kami ng recommendation sa munisipyo. May lokohan pala dian e. So just prove it na lang sa barangay and sa court.

If the profit is put to the benefit of the family of the administrator of the computer shop, then the conjugal property shall answer to the debts.

In my opinion, seldom is the case na ippahamak nia ung asawa nia, so you should think that only as an alternative witness wala ka na bang ibang witness like ung bantay sa shop? Just in case lang.

The proper case is collection of sum of money but you need to send a notice to the party first before you file a case. This is in conformity with the due process of law.

yung mga bantay din po pede din mag witness kaso yung iba takot kasi tinatakot na sila nung lalake..

Actually sa barangay po pinagawa na kami ng demand letter and na send na din po namin sa kanya.. yun na po ba yung notice na sinasabi nyo po? Bukas na po kasi yung last summon sabi ng baranggay kaya po nagtatanong na ako ng next step na gagawin ko after tomorrow. for sure po kasi di cla haharap kasi po guilty.

Sa collection sum of money po ba nid ko na nang atty? first time ko po kasi. salamat po ulit.

If I were you, please ask the barangay if they want to settle without their presence kasi nahihiya sila, I am very much sure din na willing sila to settle these things. You talk among yourselves and settle this like friends as you were before.

Yes sa "collection of sum of money" civil suit. You need the service of a lawyer. Again notice to the party is important here. Kailangan may demand letter muna before you file the case.
