Good day po. I entered a business partnership nang zero knowledge about doing the business. Sa sobrang galak ko po, umayon na lang po ako sa mga business partners ko dahil mas nakakatanda sila sa akin at alam ko po na may experience na sila. ang business po namin ay paanakan. 6 po kaming nag bigay ng napag usapan na starting pondo po para maipatayo ang paanakan. sa pag uusap po namin, napag kasunduan na ako, ang aking pangalan ang gamitin para makapag apply sa dti na aking sinang ayunan verbally. hindi po kasi namin kaya ang SEC, malaking capital po kasi ang kinakailangan kaysa sa sole proprietorship. sa mga lumipas na buwan, naisip ko po na nasa akin ang pinaka malaking responsibilidad, at liabilities. may nakapag payo po sa akin na isang midwife na solong may ari ng paanakan nya, na hindi po maganda ang aming sistema. dahil sa akin nga lang po nakapangalan ngunit wala po sa akin ang awtoridad, desisyon, transaksyon sa mga med. rep. at kita ng negosyo. Ang pinaka mas may edad po sa amin ang syang humahawak sa pagpapatakbo ng negosyo. hindi ko po masabi sa kanila na gusto ko pong ako na ang magpalakad ng negosyo. dahil na rin po sa conflict na, kaya po namin ito itinayo dahil bawal na ang mag paanak sa bahay sa aming munisipalidad. at hindi ko din naman po iyon maitatayo ng mag isa kung wala po ng tulong nila. ako po ay rehistradong nurse at midwife. kasosyo po ang mom-in-law ko na isang midwife at may sarili nya pong clinic, yung pinaka senior midwife po sa amin na nag tratrabaho po sa gobyerno, sa public lying-in.(sya po ang in control/head sa amin), isang midwife na kulang po sa mga trainings, isang guro.sya po ang aming secretary/bookkeeper, isang midwife(anak po sya ng senior midwife/pero sa nanay nya po pala galing yung pondo nya, sinabi lng po ng nanay nya na sa anak nya iyon).

Mag iisang taon na po simula ng kami ay mag paanak sa clinic. may LTO n po kami galing DOH, at on process po ang philhealth accreditation.

Mahina po ang loob ko na sabihin sa kanila na hindi kami SEC, at ako lang po ang lihitimong nag mamay-ari ng clinic, sa kadahilanang ang bawat isa ay pare pareho ng pondo kaya ang turing ng bawat isa ay pag mamay ari nila ang clinic.

Wala po sa akin ang authority, power at money.
Gusto ko man alisin sila, iba naman po ang gusto ng tatay-in-law ko, dahil malaking gulo lamang po iyon. At maaaring masira ang clinic/paanakan. Dahil sa barangay na iyon, halos kilala po sila mom-in-law, senior midwife, at midwife na kulang sa mga trainings na matagal na pong mga kumadrona.
Natatakot din po ang nanay-in-law ko na baka barilin na lang sya ng asawa ni midwife na kulang sa training.

Marami na po nag payo sa akin. Ngunit hindi ko po malabanan yung kahinaan ko na sabihin sa kanila yung gusto ko, na ako po ang mag manage ng clinic at gabayan na lamang po nila ako kung nais nila.
Hindi ko din po gustong umalis sa clinic, dahil ito lamang din po ang inaasahan ng aking pamilya.

Kung sa legal issue po , ano po ang pwede kong gawin.
Maaari ko po bang sabihin na lang sa kanila na mag uusa kami sa harap ng abogado para po makuha ang nais ko ng hindi ko po sila tinatanggalan ng karapatan? Dahil alam ko din po na ang clinic lamang din po ang inaasahan nila para sa pamilya nila.

IMHO you don't need the presence of a lawyer since the business is registered under your name, and you have the sole authority to decide on the direction of the business INCLUDING its financial aspect.

As a good business owner you DO HAVE THE RESPONSIBILITY of imparting the profit to your investors as a means of good faith and establishing trust.

I agree with you. The problem is, everyone thinks they are also the owner of our business. And because they think of me as a newbie, the eldest midwife is taking control of the management and is the keeper of the clinic's income. She is also putting our profits in her savings bank account. I may have the rights legally and all. The part is they won't accept that fact. If I insist of my rights and what I want to do with the management, they may think of me as a bighead and that may start a conflict since everybody wants their share to be the same. Of course as a clinic owner or clinic manager I would also like to have a salary different from the staff and giving incentives/rebates to the midwives is part of my plans which they didn't approve as of now.
The worst case is I'm now a dummy. I am now having an estranged relationship with the clinic.

As you stated you have all the LEGAL rights. Let them think whatever they want, it's their problem not yours.

You could suggest to put the agreement (such as profit sharing and management control) in writing and duly signed by a lawyer so that everyone will honor the agreement.

LOCK UP.
1. DEMAND the CONTROL over the money, because YOU are responcible for instance if something isn't paid.
2. If you don't have a WRITTEN contract telling something else, so you can prove it, YOU can be responcible the OTHERS will get SALARIES even if the result of the business is bad.

Concerning you geting more:
Well. The responcibility add reason to get more
BUT if I understand you corect, the others are more experienced, which is add reason for THEM,
so PERHAPS these two equal each other. It depend of how much biger risk it's for you.
