Hello. Sana matulungan nyo ako...

Two years ago, my Tita and I tried to franchise. Yung Tita ko ang nagbayad ng capital at ako naman ang mag-manage. As per advised by the franchisor since nagkasakit yung Tita ko at medyo matanda na sya, nasa pangalan ko ang franchise contract at sa akin naka-rehistro yung business sa DTI as sole proprietorship.

Unfortunately, nalugi ang business dahil pangit ang location kaya nag-desisyon kami na isara sya after 8 months of operation. Ang problema ay may utang kami sa franchisor na around P600k. Hindi na namin sila mabayaran since sobrang lugi na kami sa operational expenses pa lang. Wala rin kami nabawi sa investment. Buti na-pullout namin yung mga equipments at stocks sa lessor namin, yung mga ibang mamahaling equipment at mga natirang stock binalik namin sa franchisor.

Nagpadala sila ng demand letter of payment at sabi na magkakaroon ng monthly 3.5% interest pag di kami nagbayad. Lumipat na kami ng bahay at wala na kaming contact sa franchisor since last year. Yung Tita ko po naman walang pambayad ng utang, pinang-invest nya yung pera nya dito sa franchising at retired na sya. Kawawa nga po eh.

Ang mga tanong ko po ay:
1. May habol po ba sa Tita ko yung franchisor? Naka-pirma po sya as WITNESS sa contract pero hindi guarantor.
2. Since wala po akong property or any money or trabaho ngayon, wala talaga akong pambayad sa kanila. Kung magsasampa sila ng kaso, ako lang po ba ang liable?
3. Is this a criminal or civil case?
4. Anong klaseng case ang usually na-i-file pag ganito ang scenario? Breach of contract?
5. Paano ko po malalaman kung nagsampa sila ng kaso?
6. Automatic ba na nasa watchlist/HDO ang pangalan ko pag nag-file sila ng kaso?
7. As for BIR concerns, di na namin naasikaso yung tax, filing of bankruptcy, etc sa BIR. May habol ba ang BIR sa akin for non-compliance?

Sidenote: Lalo ako natatakot dahil maimpluwensya ang family nung may-ari ng business at may connections sila sa isang very powerful and famous politician. pale
